Moving from NAV 4.0 to NAV 5.0 sp1

I am planning to upgrade a nav financial system from 4.0 to 5.01. If i just convert the database to 5.01 will i get the new functionality of 5.01 and the 5.01 objects (especially default codeunits) or will be just like the 4.0 and all of its objects?

Just converting the database will not give you access to the new objects. An upgrade can be thought of as two separate things:
Executables upgrade: converts the database
Objects upgrade: You have to merge code from the existing objects into the new objects.
