If you want to take advantage of all possibilities of 64 bit, you might consider upgrading (at least technically) to 4.00SP3 latest hotfix and go to SQL2005.

The C/Side database server and client are 32 bit applications and, even though they will run, will not take any advantage of a 64 bit system.
