SQL 2005 Executables only?

I am currenty running 3.60 for SQL 2000. I still have some 2.60E db objects from a previous upgrade. I want to upgrade to 4.0 sp1 so I can use SQL 2005. Can I merely restore my 3.60 db to a 4.0sp1 db, like I did when moving from 2.60E to 3.60? Do my db objects need to be upgraded as well? We have several customizations that were developed in 2.60E that we can't afford to lose.
Can I run 4.0 sp1 with SQL 2005 64bit or just 32bit?
